1. Commercial Scope & Parties
FoodSource USA operates exclusively as a business-to-business (B2B) digital infrastructure matching accredited commercial food buyers (restaurants, hospital systems, commissary kitchens, grocery distributors) with federally inspected food processing establishments and freight logistics providers.
2. FOB Points & Freight Logistics
Unless specified otherwise in an executed Purchase Order (PO) or Master Supply Agreement, all commodity prices quoted through the platform are FOB Origin (Processor Loading Dock) or FOB Destination with certified refrigerated (reefer) carrier documentation. Continuous temperature logs must be maintained during interstate transport.
3. Perishable Inspection Window & Quality Claims
In accordance with wholesale commercial trade customs, consignees possess a forty-eight (48) hour inspection window upon electronic delivery receipt (e-BOL) to examine lot seals, USDA inspection stamps, and temperature recorder outputs. In the event of off-temperature transit or quality discrepancies, formal notice must be logged immediately.
4. Settlement & Commercial Credit Terms
Transactions facilitated directly between buyer and supplier are settled in US Dollars (USD) via Commercial ACH, Wire Transfer, or approved Net 30/60 trade credit terms following underwriting and trade reference verification.
5. Limitation of Liability
FoodSource USA exercises diligent care to maintain the accuracy of USDA EST numbers and facility metadata. However, actual purchase contracts, product warranties, and fulfillment liabilities remain strictly between the transacting buyer and the licensed supplier entity.
6. Governing Law
